1. Acceptance of Terms

By downloading, installing, or using the MeetPass Names application ("App") or related services ("Services") provided by Accex Asia Pvt Ltd ("Accex", "we", "us"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the App or Services. We may update these Terms from time to time; continued use after changes constitutes acceptance. Please review the Terms periodically.

2. Description of Services

MeetPass Names provides:

• Online appointment booking and scheduling.
• Creation and management of digital IDs and profiles, including QR-based sharing.
• Related features as described in the App and on our website.

We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

3. User Accounts and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate and complete information and notify us promptly of any unauthorised use.

4. User Conduct

You agree not to:

• Use the App or Services for any illegal purpose or in violation of any applicable laws.
• Impersonate any person or entity or misrepresent your affiliation.
• Upload, transmit, or share content that is defamatory, obscene, harassing, or infringes others' intellectual property or privacy rights.
• Attempt to gain unauthorised access to our systems, other users' accounts, or any third-party systems.
• Use automated means (e.g. bots, scrapers) to access the Services without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Services.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law.

5. Intellectual Property

All rights in the App and Services (including software, design, text, graphics, and logos) are owned by Accex or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the App for your personal or internal business use in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without our written permission.

6. Privacy

Your use of the App and Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

7. Disclaimers

The App and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free. You use the Services at your own risk.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Accex Asia Pvt Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or related to your use of the App or Services, even if we have been advised of the possibility of such damages. Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim, or one hundred Indian Rupees (INR 100), whichever is greater. Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Accex Asia Pvt Ltd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable law.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts at Ghaziabad, Uttar Pradesh, India.

11. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign these Terms without our consent; we may assign them without restriction. These Terms constitute the entire agreement between you and Accex regarding the App and Services.
